Flexizones provides hospitality technology and communications services, including hotel television services, internet and Wi-Fi services, and telephone/communications services.

By accessing or using our website, requesting a quote, submitting an inquiry, or purchasing or using our services, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent applicable to your use of our website and services.

If you are entering into these Terms on behalf of a hotel, business, or other organization, you represent that you have authority to bind that organization.

1. Our Services

Flexizones provides services to hotels and other hospitality properties, which may include:

  • Hotel television services and television programming solutions;
  • Television equipment, systems, and related installation services;
  • Internet and Wi-Fi services;
  • Dedicated, shared, broadband, fiber, wireless, or other connectivity solutions;
  • Telephone and communications services; and
  • Related installation, support, coordination, and technology services.

The specific services provided to a customer will be described in the applicable proposal, quotation, order form, service agreement, statement of work, or other written agreement between Flexizones and the customer ("Service Agreement").

Service availability, pricing, equipment, programming, speeds, features, installation requirements, and other specifications may vary by property, location, service provider, and service plan.

2. Service Agreements and Customer Orders

Information displayed on the Flexizones website is generally for informational and marketing purposes and does not constitute a binding offer to provide services.

A customer order becomes binding when accepted by Flexizones through a written Service Agreement, signed proposal, order form, electronic acceptance, or other written confirmation accepted by Flexizones.

A Service Agreement may contain terms that are specific to the customer's property, including:

  • Service type;
  • Number of rooms, televisions, lines, or devices;
  • Monthly recurring charges;
  • Equipment charges;
  • Installation charges;
  • Contract term;
  • Promotional pricing;
  • Taxes and fees;
  • Cancellation or early termination provisions;
  • Equipment ownership and return requirements; and
  • Other service-specific requirements.

If there is a conflict between these website Terms and a signed Service Agreement, the signed Service Agreement will control with respect to the specific services covered by that agreement.

3. Quotes and Pricing

Quotes and proposals provided by Flexizones are based on the information available to us at the time of preparation.

Unless otherwise stated in writing:

  • Quotes may be subject to expiration;
  • Pricing may change before an order is accepted;
  • Taxes, government fees, carrier charges, or other applicable fees may be additional;
  • Final pricing may depend on site conditions, equipment requirements, service availability, provider pricing, and installation requirements.

A quote does not guarantee that a particular third-party provider will approve or activate the requested service.

4. Monthly and Recurring Charges

Where applicable, customers may be responsible for monthly recurring service charges.

Recurring charges may continue for the duration of the applicable Service Agreement unless the agreement provides otherwise.

Customers are responsible for reviewing invoices and notifying Flexizones of billing discrepancies within a reasonable period after receiving an invoice.

Failure to pay amounts when due may result in suspension or termination of services, subject to the applicable Service Agreement and applicable law.

5. Taxes and Government Charges

Unless expressly stated otherwise, customers are responsible for applicable sales taxes, telecommunications taxes, government fees, regulatory charges, surcharges, and similar amounts associated with the services provided.

The amount of applicable taxes or fees may vary based on the customer's location and the services purchased.

6. Installation Services

Where installation is included or purchased, the customer is responsible for providing reasonable access to the property and the areas where installation work is required.

The customer may be responsible for providing or maintaining, as applicable:

  • Reasonable access to equipment rooms and guest rooms;
  • Electrical power;
  • Existing usable cabling or wiring;
  • Network connectivity;
  • Suitable mounting locations;
  • Roof or exterior access where required;
  • Necessary property permissions; and
  • A safe working environment for technicians.

Installation dates are estimates unless a specific date is expressly guaranteed in writing.

Installation may be delayed by circumstances outside Flexizones' reasonable control, including carrier availability, equipment availability, shipping delays, construction requirements, weather, site conditions, permitting, or third-party scheduling.

Additional charges may apply when site conditions require work beyond the scope of the original proposal.

7. Television Services

Television services may be provided directly by Flexizones or through third-party programming providers, distributors, or technology partners.

Television programming, channels, packages, pricing, channel availability, equipment requirements, and programming rights may change from time to time.

Flexizones does not guarantee that a particular channel or program will remain available throughout the customer's service term unless expressly guaranteed in the applicable Service Agreement.

Certain television systems may require specific television models, equipment, cabling, networking, satellite reception, headend equipment, or other infrastructure.

The customer is responsible for ensuring that the property meets applicable site requirements identified by Flexizones or the applicable service provider.

8. Internet and Wi-Fi Services

Internet and Wi-Fi services may be provided directly by Flexizones or through third-party internet service providers, telecommunications carriers, network operators, or other service partners.

Advertised or quoted internet speeds represent the applicable service tier and may be affected by:

  • Network congestion;
  • Property infrastructure;
  • Wi-Fi equipment;
  • Number of connected devices;
  • Internal wiring;
  • Customer equipment;
  • Carrier network conditions;
  • Distance or signal limitations; and
  • Other technical conditions.

Actual speeds and performance may vary.

Flexizones does not guarantee uninterrupted or error-free internet or Wi-Fi service unless expressly provided in the applicable Service Agreement.

9. Telephone and Communications Services

Telephone or communications services may be provided through third-party carriers, telecommunications providers, VoIP providers, SIP providers, POTS providers, or other service partners.

Service availability may depend on geographic location, carrier infrastructure, number-porting requirements, equipment, network availability, and regulatory requirements.

Telephone services may be subject to service limitations, outages, emergency-service requirements, or other restrictions imposed by the applicable carrier or service provider.

The specific features and limitations of telephone services will be described in the applicable Service Agreement.

10. Third-Party Providers

Flexizones may work with third-party television providers, internet service providers, telecommunications carriers, equipment manufacturers, installation companies, shipping companies, and other service providers to fulfill customer orders.

Third-party services may be subject to the applicable provider's terms, policies, pricing, service availability, and technical requirements.

Flexizones is not responsible for delays, outages, programming changes, network failures, equipment shortages, or other circumstances caused solely by a third-party provider, except to the extent otherwise required by applicable law or expressly stated in the applicable Service Agreement.

11. Equipment

Equipment supplied as part of a service may include television equipment, headend equipment, receivers, access points, routers, network equipment, telephone equipment, antennas, satellite equipment, cabling, or other hardware.

Ownership of equipment will depend on the applicable Service Agreement and the source of the equipment.

Equipment may be:

  • Customer-owned;
  • Leased;
  • Rented;
  • Provided by a third-party provider; or
  • Provided for use during the service term.

Customers are responsible for reasonable care of equipment located at their property.

Customers may be responsible for loss, theft, misuse, or damage to customer-responsible equipment as specified in the applicable Service Agreement.

12. Customer Responsibilities

Customers agree to:

  • Provide accurate information;
  • Provide reasonable access to the property;
  • Cooperate with installation and service personnel;
  • Maintain property infrastructure that is the customer's responsibility;
  • Provide required permissions and approvals;
  • Use services and equipment lawfully;
  • Not intentionally interfere with service equipment or network infrastructure;
  • Not attempt to circumvent service restrictions or security measures; and
  • Pay all amounts due under the applicable Service Agreement.

Customers are responsible for obtaining any permissions, licenses, or approvals required for work performed at their property unless otherwise agreed in writing.

13. Service Interruptions

Services may occasionally be interrupted because of:

  • Scheduled maintenance;
  • Equipment failure;
  • Power outages;
  • Internet or carrier outages;
  • Satellite or transmission issues;
  • Weather;
  • Construction;
  • Network congestion;
  • Third-party provider issues;
  • Emergency conditions; or
  • Other circumstances beyond Flexizones' reasonable control.

Flexizones will make reasonable efforts to coordinate restoration or resolution of service issues when the issue is within Flexizones' responsibility.

14. Cancellations and Termination

Cancellation and termination rights are governed primarily by the applicable Service Agreement.

If a customer cancels a service before the end of a contractual term, the customer may be responsible for early termination charges, unpaid balances, equipment charges, installation costs, or other amounts specified in the applicable agreement.

Flexizones may suspend or terminate services where permitted by the applicable Service Agreement or law, including for:

  • Nonpayment;
  • Material breach;
  • Fraudulent or unlawful activity;
  • Abuse or misuse of services;
  • Interference with network or equipment; or
  • Circumstances requiring termination by a third-party provider.

15. Refunds

Refund eligibility depends on the applicable Service Agreement, proposal, order, service type, and applicable law.

Certain equipment, installation, activation, or third-party charges may be non-refundable where disclosed to the customer before purchase.

Nothing in these Terms limits any refund or cancellation rights that cannot legally be waived.

16. Website Use

You may use the Flexizones website only for lawful purposes.

You may not:

  • Attempt to gain unauthorized access to our systems;
  • Introduce malicious software;
  • Interfere with website functionality;
  • Scrape or collect information through unauthorized automated methods;
  • Impersonate Flexizones or another person;
  • Use the website for fraudulent purposes;
  • Attempt to bypass security measures; or
  • Use website content in violation of applicable law.

17. Intellectual Property

The Flexizones website and its content, including text, graphics, logos, designs, images, videos, trademarks, service marks, and other materials, are owned by or licensed to Flexizones unless otherwise indicated.

You may not reproduce, modify, distribute, publicly display, sell, or commercially exploit our website content without prior written permission.

Nothing in these Terms transfers ownership of Flexizones' intellectual property to a customer.

18. Customer Materials

Customers may provide Flexizones with information, documents, property information, photographs, specifications, network information, or other materials necessary to provide services.

The customer represents that it has the right to provide such materials to Flexizones and authorize their use for the purpose of providing the requested services.

Flexizones may use customer-provided information as reasonably necessary to provide, coordinate, maintain, support, or improve the services and to comply with legal obligations.

19. Privacy

Flexizones' collection and use of personal information is described in our Privacy Policy.

Our Privacy Policy is incorporated into these Terms by reference for purposes relating to website and personal-data practices.

The Privacy Policy does not replace or modify the commercial terms contained in a signed Service Agreement.

20. Confidentiality

Each party may receive confidential business or technical information from the other party in connection with services.

Each party agrees to use reasonable care to protect confidential information and to use such information only for legitimate business purposes related to the relationship.

Confidential information does not include information that:

  • Is publicly available without breach;
  • Was already lawfully known;
  • Is independently developed without use of confidential information; or
  • Must be disclosed by law or lawful government order.

21. Disclaimers

To the maximum extent permitted by applicable law, the Flexizones website and general website content are provided on an "as is" and "as available" basis.

Flexizones does not guarantee that the website will always be uninterrupted, secure, error-free, or available.

Service-specific warranties, guarantees, service levels, or performance commitments, if any, will be stated in the applicable Service Agreement.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Flexizones will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the website or services, including loss of profits, revenue, business opportunities, data, or goodwill.

To the maximum extent permitted by applicable law, Flexizones' aggregate liability arising from a particular Service Agreement will not exceed the amount paid or payable to Flexizones under that Service Agreement during the applicable period specified in the agreement, except where a different limitation is required by law or expressly agreed in writing.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

23. Indemnification

To the extent permitted by applicable law, customers agree to defend, indemnify, and hold harmless Flexizones and its officers, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses arising from:

  • The customer's unlawful use of the services;
  • The customer's material breach of these Terms or a Service Agreement;
  • Customer-provided materials or information;
  • Damage caused by the customer's misuse of equipment; or
  • The customer's violation of third-party rights.

This provision does not require indemnification for claims caused by Flexizones' own negligence, willful misconduct, or other circumstances where indemnification is prohibited by applicable law.

24. Force Majeure

Flexizones will not be responsible for failure or delay in performing obligations caused by circumstances beyond its reasonable control, including:

  • Natural disasters;
  • Severe weather;
  • Fire;
  • Flood;
  • Power outages;
  • Internet or telecommunications outages;
  • Satellite failures;
  • Carrier outages;
  • Equipment shortages;
  • Shipping delays;
  • Labor disputes;
  • Government actions;
  • War;
  • Terrorism;
  • Public emergencies; or
  • Other events beyond reasonable control.

The affected party will make reasonable efforts to resume performance when practical.

25. Changes to Services and Terms

Flexizones may modify website content and these website Terms from time to time.

Updated Terms will be posted on this page with a revised effective date.

Changes to an existing customer's commercial services will be governed by the applicable Service Agreement and any required written amendment.

26. Electronic Communications

When you communicate with Flexizones electronically, including through email, website forms, or other electronic communications, you consent to receive communications electronically where permitted by law.

Electronic communications may include quotations, invoices, service updates, notices, support communications, and other business communications.

27. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

28. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

29. Assignment

Customers may not assign their rights or obligations under a Service Agreement without Flexizones' prior written consent, except where permitted by the applicable agreement.

Flexizones may assign its rights or obligations in connection with a merger, acquisition, corporate restructuring, financing, or sale of substantially all relevant business assets, subject to applicable law.

30. Governing Law

Unless otherwise stated in a signed Service Agreement, these Terms will be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute concerning the website or these general Terms will be subject to the jurisdiction and venue agreed upon by the parties or otherwise permitted under applicable law.

A specific Service Agreement may contain different governing-law, venue, arbitration, or dispute-resolution provisions, in which case those provisions will control.

31. Entire Agreement

These website Terms govern use of the Flexizones website and general website-related matters.

A signed Service Agreement, proposal, order form, or statement of work contains the specific commercial terms applicable to a customer's services.

If there is a conflict between these Terms and a signed Service Agreement, the signed Service Agreement will control for the services covered by that agreement.
